Dormant company – a UK company ready to trade, with minimal obligations.
A dormant company is an ordinary Ltd with no significant accounting transactions: no sales, purchases or payroll. It is ideal for securing a company name, preparing a project or keeping a structure ready for later.
Obligations
- Dormant accounts at Companies House every year.
- Confirmation Statement every year.
- Telling HMRC the company is dormant – no Company Tax Return is due unless HMRC asks for one.
Once the company starts trading it is no longer dormant and HMRC must be told within 3 months. We can switch it to active and set up the accounting.
